Companies Act 2008
Two types may be incorporated under the Act: non-profit companies and profit companies. Profit companies come in four forms.
Cannot offer shares to the public and transferability of shares is restricted, but is no longer limited to 50 shareholders. Needs at least one director. Name ends in (Pty) Ltd.
May offer shares to the public. Requires at least three directors, and only one member for incorporation. Name ends in Ltd.
Meets the criteria for a private company, but directors and past directors are jointly and severally liable with the company for debts incurred during their terms of office. Name ends in Incorporated.
Incorporated for a public benefit or a cultural, social or communal purpose. Income and property are not distributable to incorporators, members, directors or officers. Name ends in NPC.
A company defined as a state-owned enterprise in the Public Finance Management Act, or one owned by a municipality. Most provisions applying to public companies apply here too.
A foreign company is incorporated outside South Africa. It must register as an external company with CIPC if it conducts or intends to conduct business here, and is prohibited from offering securities to the South African public unless it follows the Act.
